VPhoto Membership Service Agreement

Operating Entity: Shenzhen Fujia Technology Co., Ltd.

Article 1 Definitions

1.1 Paid Membership refers to users who pay for membership services within the VPhoto App, available in two subscription plans:

(1) Yearly Membership: $49.90/year (original price $59.90/year, 16% discount), with a monthly gift of 1,500 AI credits (18,000 credits annually).

(2) Monthly Membership: $4.99/month (original price $5.99/month, 16% discount), with a monthly gift of 1,500 AI credits.

1.2 Free Membership refers to users who have not paid for a membership but are using the basic functions of the VPhoto App normally.

1.3 AI Credits refers to virtual currency used for consuming AI functions (AI image enhancement, AI video generation, AI refinement, etc.), measured in units of "credits."

1.4 Add-on Package refers to additional credit packages that paid members can purchase on top of their base credits, available exclusively to users who have activated a paid membership.

Article 2 Membership Benefits

2.1 Free Membership Benefits

Free members may use the following functions, subject to credit limits:

(1) Filters / Image Enhancement / Stickers: Supported, 20 credits per use.

(2) AI Refinement: Supported, 20 credits per use.

(3) AI Video Generation (720P 5s): Supported, 150 credits per use.

(4) One-time File Sending Limit: Maximum 200MB per single video, maximum 100 images per single send.

(5) AI Video Generation (1080P 5s).

(5) The following functions are not available to free members: unlimited cloud backup storage, photo frame content viewing.

2.2 Paid Membership Benefits

Paid members enjoy the following additional benefits on top of free membership benefits:

(1) Unlimited Cloud Backup Storage: No upper limit on storage space.

(2) Photo Frame Content Viewing Permission: Allows viewing of cloud backup content on the VPhoto mobile App.

(3) First-time members receive a 7-day free trial with 1,500 AI credits.

2.3 New Member 7-Day Free Trial

Newly registered users enjoy a 7-day free trial and 1,500 free AI credits upon first activating membership. During the trial period, users enjoy all paid membership benefits. If not actively cancelled before the trial expires, the subscription will automatically convert to a paid plan and be billed accordingly.

Article 3 AI Credit Rules

3.1 Credit Issuance

(1) Yearly members: 1,500 credits are automatically issued on the 1st day of each month, accumulating to 18,000 credits annually.

(2) Monthly members: 1,500 credits are automatically issued on the first day of each subscription cycle.

(3) Credit issuance is synchronized with the subscription cycle and is not affected by the actual number of days used in a month.

3.2 Credit Consumption

(1) Credits are consumed based on the type of AI function used (see Article 2 for details).

(2) Credits are deducted in real time and are non-refundable.

(3) If a single AI task is incomplete or fails, consumed credits will be refunded.

3.3 Credit Validity and Carryover

(1) After membership expires, remaining credits cannot be used and will be reset to zero.

(2) Gifted credits expire 30 days after recharge; recharged credits may be carried over across cycles.

(3) The Company reserves the right to adjust credit rules within a reasonable scope and will notify users through in-App announcements in advance.

3.4 Add-on Package Credits

(1) Paid members may purchase additional credit packages as follows:

- Power Package: $5.99/package (original price $6.99), includes 2,200 credits.

- Standard Package: $2.99/package (original price $3.99), includes 1,000 credits.

(2) Credit Usage Priority: Monthly base credits are consumed first. Once base credits are exhausted, bundled add-on credits will be used automatically.

(3) Add-on package credits are credited immediately upon purchase and are non-refundable and non-transferable.

Article 4 Membership Activation and Payment

4.1 Activation Method

(1) Select a subscription plan on the VPhoto App "My → Membership" page.

(2) Check to agree to the Membership Service Agreement and the Auto-Renewal Agreement.

(3) Complete payment through the Apple App Store or Google Play.

4.2 Payment Instructions

(1) Subscription fees are automatically charged from your linked Apple ID or Google Play account.

(2) Prices are based on the real-time display in the App and may vary by region, exchange rate, or promotional activities.

(3) The Company reserves the right to adjust membership pricing. Active subscription cycles are not affected by price adjustments.

Article 5 Membership Expiration and Feature Restrictions

5.1 Membership Expiration Handling

(1) After membership expires, VIP-exclusive functions (unlimited cloud backup storage, photo frame content viewing, etc.) will be disabled.

(2) After membership expires, the account reverts to a regular user status.

(3) After membership expires, remaining credits cannot be used and will be reset to zero. VIP-exclusive functions are restricted.

5.2 Data Retention

(1) After membership expires, cloud backup data is retained for 365 days, during which users may renew at any time to restore access.

(2) If not renewed within 365 days, cloud backup data may be permanently deleted. The Company bears no responsibility for this.

(3) Local device cached data is not affected by membership status.

Article 6 Auto-Renewal

6.1 Auto-Renewal Rules

(1) Membership subscriptions default to auto-renewal.

(2) Within 24 hours before the subscription expires, the system will automatically charge the next cycle fee from your linked payment account.

(3) If payment fails, auto-renewal will be paused and membership benefits will terminate at the end of the current cycle.

6.2 Cancelling Auto-Renewal

(1) Please cancel auto-renewal at least 1 day before the subscription expires, otherwise it will automatically renew and be charged.

(2) Cancellation paths:

- iOS users: iPhone "Settings → Apple ID → Subscriptions → VPhoto → Cancel Subscription"

- Android users: Google Play App "Subscriptions → VPhoto → Cancel Subscription"

(3) After cancelling auto-renewal, membership benefits remain valid until the end of the current cycle.

6.3 Auto-Renewal Agreement

For auto-renewal terms, please refer to the Auto-Renewal Agreement, which is an integral part of this Agreement.

Article 7 Refund Policy

7.1 Free Trial Refunds

(1) No actual charge is incurred during the 7-day free trial period, so no refund applies.

(2) If a charge was made during the trial period (due to system delay or other reasons), please contact customer service to request a refund.

7.2 Paid Subscription Refunds

(1) Google Play users: May request a refund through Google Play's official channel within 48 hours of purchase, subject to Google Play's refund policy.

(2) App Store users: May request a refund through Apple's official process by visiting reportaproblem.apple.com. Apple will review and process the request according to its refund policy.

(3) Refund requests arising from personal reasons (e.g., accidental operation, no longer needed) are independently reviewed by Apple / Google according to their respective policies. The Company does not interfere with the review outcome.

7.3 Add-on Package Refunds

Add-on package credits are credited immediately upon purchase and are non-refundable.

Article 8 Liability for Breach

8.1 User Violations

(1) If a user uses membership benefits to engage in activities that violate laws, regulations, or the terms of this Agreement, the Company has the right to immediately terminate the membership service without a refund.

(2) If a user obtains credits through improper means (such as exploiting system vulnerabilities or cheating), the Company has the right to deduct the relevant credits and suspend membership benefits.

8.2 Company Liability

(1) If credits are abnormally lost or membership benefits cannot be used normally due to server failure or technical reasons attributable to the Company, the Company will reissue or compensate after verification.

(2) The Company is not liable for service interruptions caused by third parties such as network operators or third-party payment platforms.

Article 9 Agreement Modification and Termination

9.1 Agreement Modification

(1) The Company has the right to modify the content of this Agreement as needed for business development.

(2) After modification, users will be notified through in-App announcements, push notifications, or other means.

(3) If a user does not agree with the modified Agreement, they may choose not to renew. Continued use of the service constitutes acceptance of the modification.

9.2 Agreement Termination

(1) This Agreement terminates when a user voluntarily cancels their subscription and the current cycle ends.

(2) If a user seriously violates this Agreement, the Company has the right to unilaterally terminate the service.

(3) Upon termination of this Agreement, consumed credits are non-refundable. Unused credits are handled according to Article 5.

Article 10 Governing Law and Dispute Resolution

10.1 This Agreement shall be governed by the laws of the mainland region of the People's Republic of China.

10.2 Disputes between the parties shall first be resolved through friendly negotiation. If negotiation fails, either party may file a lawsuit with the Bao'an District People's Court in Shenzhen City.

10.3 Overseas users may simultaneously file appeals through the official dispute resolution channels of the corresponding app stores (Google Play / Apple App Store).

Article 11 Text Validity

11.1 This Agreement is provided in Simplified Chinese as the official text, with an English translation for reference. In the event of any conflict or ambiguity between the Chinese and English versions, the Chinese version shall prevail as the sole legally effective text.

11.2 This Agreement takes effect simultaneously with the VPhoto User Service Agreement, VPhoto Privacy Policy, and Auto-Renewal Agreement, and forms an inseparable whole.
